e& gibt den Verkauf seiner Vodafone-Beteiligung für 5,95 Milliarden US-Dollar bekannt

The Emirates Telecommunications Group Company PJSC, also known as e&, has announced the termination of its strategic partnership agreement with Vodafone Group PLC. Following a comprehensive strategic review of its international investment portfolio, e& has confirmed that its representative on Vodafone's board has stepped down from his position as a non-executive board member.

In connection with the termination of the partnership, e& has signed a binding agreement with Vega, a wholly-owned acquisition company of the Niel family group, to sell its entire stake in Vodafone. This stake consists of 3,944,743,685 ordinary shares, representing approximately 16.21% of Vodafone's issued share capital and 17.13% of its total voting rights. The total consideration for the shares is 112.5 GBp per share, which includes a cash payment of about 110.5 GBp per share, as well as Vodafone's final dividend for the fiscal year 2026 of 2.02 GBp per share, scheduled for payment on July 30, 2026.

The shares will simultaneously be sold through off-market block transactions to three financial institutions that will hold them until Vega fulfills the necessary regulatory requirements.

Upon completion of the share transfer to the financial institutions, e& is expected to receive approximately 21.8 billion AED (5.95 billion USD) from the transaction, including the final dividend for the fiscal year 2026. The transaction is projected to yield a net cash return of around 4.7 billion AED (1.3 billion USD).
