Bulletin from the Annual General Meeting in Anoto Group AB (publ) on 31 July 2026
The Annual General Meeting for Anoto Group AB (publ) was held on July 31, 2026, where several significant decisions were made. The meeting resolved to adopt the balance sheet, income statement, consolidated balance sheet, and consolidated income statement for the year 2025. Additionally, it was determined that no dividend would be distributed, with distributable profits carried forward.
The AGM also included resolutions regarding the composition and remuneration of the Board of Directors. It approved the discharge of board members and the Chief Executive Officer from liability for 2025 and set board remuneration at a total of SEK 2,100,000. The assembly re-elected Kevin Adeson, Alexander Fällström, Gary Stolkin, and Adrian Weller to the board, also electing Erik Fällström for the next term and re-appointing Adeson as Chairman. BDO Mälardalen AB was confirmed as the company’s auditor.
The meeting resolved to amend the company’s articles of association, changing its registered name from Anoto Group AB to INQ Group AB (publ). This included modifications to the share capital limits and the total number of shares. The AGM also approved an Amended and Restated Secured Convertible Agreement, permitting certain board members to participate as lenders, and endorsed the issuance of new ordinary shares to fulfill obligations under existing agreements.
Additionally, a new long-term incentive program was introduced for the management team and key employees, comprising stock options that will vest over three years. An incentive scheme specifically for the Chairman of the Board was also established, linked to the Chairman facilitating a major agreement for the company. The AGM authorized the board to execute share issuances, repurchases, and amendments necessary to enable a consolidation of shares, which was also resolved as part of the meeting's agenda.
All decisions requiring a qualified majority were adopted unanimously, and the Board of Directors was delegated authority to make minor adjustments related to the resolutions for registration purposes with the Swedish Companies Registration Office and Euroclear Sweden AB.
