Private Equity Legal Alliance Releases Second White Paper: From Practice to Platform™
CHICAGO — The Private Equity Legal Alliance (PELA) has released its second white paper titled From Practice to Platform™: A Practical Guide to Structuring the Modern Law Firm MSO – from LOI to Post-Transaction Integration.
This white paper shifts focus from the influx of private capital into legal services to the methods by which owners and investors can develop scalable, sustainable legal-services platforms post-transaction. It has been developed by a multidisciplinary team from Samson Partners Group and Holland & Knight LLP, aimed at providing guidance to law firm owners, private equity sponsors, family offices, and advisors navigating the evolving legal marketplace.
Seth Deutsch, Founder and Managing Partner of Samson Partners Group, emphasized the change in discourse regarding private capital in legal services, stating, "The question is no longer whether private capital will participate in legal services. It already is. The question now is how owners and investors can structure these transactions in a way that creates long-term value while preserving the professional and ethical foundations of the practice of law."
The publication highlights an ongoing trend in the legal industry, where law firm MSOs and private capital investment are on the rise. It also addresses the challenges of creating scalable operating platforms, arguing that the focus should not solely be on transaction activity but on the architecture that underpins these platforms.
Particularly, the paper emphasizes the often-overlooked phase between signing a Letter of Intent (LOI) and closing a transaction. This period is critical for designing the foundation of a legal-services platform, as issues related to governance and operational integration often stem from decisions made during this time.
The white paper can be accessed through PELA member organizations and will be made available at samsonpartnersgroup.com/pe-legal-alliance.
